

For Phil Thomas Associates (herein after
referred to as PTA)
The Project: Any task undertaken by PTA on
behalf of a Client will be identified as a Project
and be prescribed by the three following criteria:
The Specification: This will consist of a full technical
description embodying the key elements, materials
and disciplines for the task to be achieved as
agreed by both Client and PTA.
The Schedule; This will consist of a detailed
timeline of events culminating with the completion
date agreed by both Client and PTA
The Budget: This will identify the costs of each
of the elements necessary to complete the task
arriving at a total agreed between Client and PTA.
Intellectual Property
All copyright or other intellectual property rights
in any material devised by PTA will belong to PTA
until receipt of all payments due for the work done.
Upon receipt of the final payment all copyright
and other intellectual property rights will pass to
the Client.
Moral Rights
PTA retains the moral right to such copyright
notice/credit as is reasonable. The Client shall not
remove or alter any copyright or other proprietary
notice without written consent from PTA.
Confidentiality
We agree that we shall keep the terms of this
agreement and any further information supplied
to each other in respect of this agreement or
in respect of each other’s business secret and
confidential. In this respect we agree that we
will not disclose the Information or any part of
it to anybody (except to our own contractors)
without prior written consent.

Payment Terms
Unless otherwise stated PTA will invoice the client
in 3 parts. 30% upon project commencement 30%
at a mid-project stage to be agreed and 30% on
completion. All invoices to be paid in 30 days.
Expenses
These are identified as charges arising from
travel and accommodation and any third party
costs not included in the project estimate.
These will be billed to the Client in addition
to the agreed project price in arrears.
Acceptance
If the client does not notify PTA of non-acceptance
within three days of delivery of the project, it will
be considered accepted.
Third-parties
The Client is responsible for the co-ordination
of any additional parties not identified by PTA
as being involved in the project. Delays caused
by non-compliance of Client project members or
third parties in agreed tasks may result in an
increased timeline and costs.
Project Amendments
If changes arise which impact on the details
of the original project specification or if PTA
is required to provide additional services not
described in the original project specification
such changes will be documented in a revised
specification. These changes may have a further
impact on timings and costs which will be
identified and agreed between Client and
PTA before work described therein
can progress.
Source material
The Client will ensure that all necessary
permissions for the use of any source material
have been obtained and that the materials
contain no defamatory matter and are free
of all other legal restrictions and Client will
indemnify PTA against any costs and losses
incurred in the event of a third party claim
against PTA.
